  1. Introduction This document outlines the terms and conditions between MakeProWeb Digital Agency (hereinafter referred to as “Service Provider”) and its clients (hereinafter referred to as “Client”). By using the services provided by Service Provider, the Client agrees to be bound by these terms and conditions.

  2. Scope of Services Service Provider agrees to provide digital services to the Client, including but not limited to website design, development, and maintenance, online advertising, search engine optimization, and other related services as agreed upon by both parties.

  3. Payment The Client agrees to pay the Service Provider in accordance with the fees, expenses, and payment schedule set forth in the agreed-upon contract. If the Client fails to make payments as agreed, Service Provider reserves the right to discontinue services until payment is received in full.

  4. Confidentiality Service Provider agrees to keep confidential any confidential information disclosed by the Client, including but not limited to trade secrets, proprietary information, and other sensitive business information.

  5. Intellectual Property Rights Service Provider agrees to transfer ownership of all intellectual property rights, including but not limited to copyrights and trademarks, to the Client for all work completed by Service Provider for the Client.

  6. Warranty Service Provider warrants that the services provided will be performed in a professional and competent manner, in accordance with industry standards. The Client agrees to promptly notify Service Provider of any defects or issues with the services provided.

  7. Limitation of Liability Service Provider shall not be liable for any damages arising from the services provided, including but not limited to indirect, incidental, or consequential damages, unless such damages were caused by the gross negligence or intentional misconduct of Service Provider.

  8. Termination Either party may terminate this agreement at any time by giving written notice to the other party. Upon termination, the Client agrees to pay any outstanding fees for services rendered and any expenses incurred by Service Provider.

  9.  After completion the website we provide login credentials to the client. So we are not responsible for any website damage, theft, down issues.  

  10. Governing Law This agreement shall be governed by and construed in accordance with the laws of the state of [insert state].

  11. Entire Agreement This agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements, whether written or oral, between the parties.

  12. Amendment This agreement may be amended only by written agreement executed by both parties.

  13. Its Client responsibility to provide domain hosting and renew on time.
